How do I sign up for the Free Access + XP Challenge? Do I need to purchase a subscription?

In our mission to democratize data skills, we are opening up our platform so that anyone can get unrestricted access to the full content library.

If you're a new learner, all you need to do is register for free with an email and password. You can start learning and racking up XP straight away. If you are already registered, you will need to log in and visit this page to activate your participation. Subscribed learners are only eligible for the XP challenge.

What is XP? How is it measured and will all XP be counted?

XP stands for Experience Points—a common method of scoring points by completing tasks and actions. DataCamp’s learning platform uses XP as a way to keep learners engaged and eager to learn.

For this contest, we are only measuring course-based XP, and XP earned from this competition. 

What is the duration of the challenge?

The last date for the XP Challenge is Nov 13, 2022. The challenge will close at 11:59 PM ET, no XP will be counted beyond this point.

OFFICIAL RULES

NO PURCHASE NECESSARY.  A PURCHASE WILL NOT IMPROVE YOUR CHANCE OF WINNING.  

PROMOTION DESCRIPTION:  The DataCamp Free Week + XP Challenge (the “Promotion”) consists of seven (7) independent daily contests (each, a “Daily Contest”) and one cumulative week-long contest (the “Cumulative Contest”).  The Promotion is intended to encourage everyone to improve their data skills and data fluency by engaging with course content, learning new data skills and building on or improving existing data skills, which is why the Sponsor’s entire library of content will be free to all users for the duration of the Promotion.  The Promotion will begin on November 7 at 9:00:00 a.m. Eastern Time (“ET”) and ends on November 13 at 11:59:59 p.m. ET (the “Promotion Period”).  The Promotional Period is divided into seven (7) daily periods (each a “Daily Contest Period”), as more fully set forth below, and a one week contest period (the “Cumulative Contest Period”), as more fully set forth below.  As part of the Daily Contest, entrants shall compete to collect the most XP within each Daily Contest Period.  As part of the Cumulative Contest, entrants shall compete to collect the XP within the Promotion Period.  Entry in the Promotion does not constitute entry into any other promotion, contest or sweepstakes.  By participating in the Promotion, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of DataCamp, Inc., 350 Fifth Avenue, Suite 7730, New York, NY 10118 (“Sponsor”), which shall be final and binding in all respects. Capitalized terms used but not defined herein will have the meaning given to them in Sponsor’s Terms of Use located at https://www.datacamp.com/terms-of-use

ELIGIBILITY:  Open only to current DataCamp registered users including registered Teams and Enterprise users, subject to their admin’s approval, in each case who are eighteen (18) years old or older as of time of entry and have opted in to Sponsor’s promotional activities.  Residents of countries which are subject to EU, UK, US or Australian trade restrictions are NOT eligible to enter the Promotion or win a prize. Officers, directors, and employees of Sponsor and its parent, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies (all such individuals and entities referred to collectively, the “Promotion Entities”), and each of their immediate family members and/or people living in the same household are NOT eligible to enter the Promotion or win a prize.  This Promotion is void where prohibited.  

HOW TO ENTER:  To enter, sign in to your DataCamp account on www.datacamp.com (the “Site”), ensure that you have opted in to participation in Sponsor’s promotional activities in your Account Settings by enabling notifications and complete “Learn” courses, the XP Accelerator Competition or a subset thereof to earn Eligible XP.  Limit one (1) entry per person in each Daily Contest.

GENERAL CONDITIONS OF ENTRY:  Sponsor is the official timekeeper for the Promotion.  All entry information and materials, if any, become the property of Sponsor and will not be acknowledged or returned.  Proof of sending information to Sponsor is not considered proof of delivery to or receipt by Sponsor of such entry.  Except as otherwise contemplated in these Official Rules personal information collected in connection with the Promotion will be used in accordance with Sponsor’s Terms of Use, located at https://www.datacamp.com/terms-of-use, and Privacy Policy, located at https://www.datacamp.com/privacy-policy.  Any communication of information transmitted to Sponsor by e-mail or otherwise is and will be treated as non-confidential and non-proprietary. 

Entry must be made by the entrant, only as described in these Official Rules.  Sponsor shall have no liability for any entries that are lost, intercepted or not received by the Sponsor.  Entries made by any other individual or any entity, and/or originating at any other website or e-mail address, including but not limited to commercial sweepstakes subscription notification and/or entering service websites, will be declared invalid and disqualified for this Promotion.  Tampering with the entry process or the operation of the Promotion, including but not limited to the use of any device to automate the entry process, is prohibited and any entries deemed by Sponsor, in its sole discretion, to have been submitted in this manner will be void.  In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible.  The Sponsor and Promotion Entities shall not be responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Promotion or by any technical or human error which may occur in the processing of the entries in the Promotion.  The Sponsor and Promotion Entities assume no responsibility or liability for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of entries.

PRIZES:  Up to seven (7) prizes are available as part of the Daily Contest.  If the Community Unlock (as defined below) is achieved, one (1) prize will be awarded in connection with each Daily Contest.  Except if the XP Threshold (as defined below) is achieved, each Daily Contest winner will receive a cash prize of $250.00 (Approximate retail value ("ARV") $250.00).  If the Community Unlock is achieved, up to ten (10) prizes are available as part of the Cumulative Contest.  Except if the XP Threshold is achieved, one (1) Cumulative Contest winner will be awarded $1,250.00 (ARV $1,250.00), the first runner up in the Cumulative Contest will be awarded $1,000.00 (ARV $1,000.00), the second runner up in the Cumulative Contest will be awarded $750.00 (ARV $750.00), the third runner up in the Cumulative Contest will be awarded $500.00 (ARV $500.00), and the fourth runner up in the Cumulative Contest will be awarded $400.00 (ARV $400.00).  The fifth through ninth runners up in the Cumulative Contest will each be awarded $300.00 (ARV $300.00).  Each entrant may only win one (1) Daily Contest prize.  Actual odds of winning each Daily Contest and the Cumulative Contest depend on the number of eligible entrants during the applicable Daily Contest Period and the Cumulative Contest Period. The “Community Unlock” is achieved if during the Promotion Period the cumulative Eligible XP (as defined below), as described below, earned by all contest entrants exceeds 250,000,000 XP. If the Community Unlock is not achieved, no prizes will be awarded for any Daily Contest or the Cumulative Contest. If during the Promotion Period the cumulative Eligible XP earned by all contest entrants exceeds 500,000,000 XP, the ARV of each Daily Contest prize and the ARV of each Cumulative Contest prize will be doubled (the “XP Threshold”) (for example, each Daily Contest winner would then receive $500.00). If the Community Unlock or the XP Threshold is met, even prizes for Daily Contest Periods occurring prior to the date the Community Unlock is met will be unlocked for award, and prizes for Daily Contest Period occurring prior to the date the XP Threshold is met will be eligible to be doubled, in each case, subject to these Official Rules.  

GENERAL PRIZE CONDITIONS:  No cash alternative or substitution of prizes will be allowed, except Sponsor reserves the right in its sole discretion to substitute prizes of comparable value if any prize listed is unavailable, in whole or in part, for any reason.  Prizes will be awarded only if the potential prize winner fully complies with these Official Rules.  All portions of the prize(s) are non-assignable and non-transferable.  Any prizes pictured in point-of-sale, online, television and print advertising, promotional packaging, and other Promotion materials are for illustrative purposes only.  All details and other restrictions of the prize(s) not specified in these Official Rules will be determined by Sponsor in its sole discretion.  EACH PRIZE WINNER SHALL BE SOLELY RESPONSIBLE FOR ALL FEDERAL, STATE AND/OR LOCAL TAXES, AND THE REPORTING CONSEQUENCES THEREOF, AND FOR ANY OTHER FEES OR COSTS ASSOCIATED WITH THE APPLICABLE PRIZE.  ALL PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

WINNER SELECTION:  After the Promotion Period, Sponsor will select a potential prize winner from among all eligible entrants for each Daily Contest Period based on the entrant with the highest amount of Eligible XP earned during the applicable Daily Contest Period. After the Promotion Period, Sponsor will select the potential prize winner from among all eligible entrants for the Cumulative Contest Period based on the entrant with the highest amount of Eligible XP earned during the Cumulative Contest Period.  Potential Cumulative Contest runners up will be selected from entrants for the Cumulative Contest Period based on the next highest amount of Eligible XP earned during the Cumulative Contest Period in descending order from greatest to smallest. In case of a tie between two or more entrants in either a Daily Contest or the Cumulative Contest, Sponsor will select a potential winner based on the entrant who has earned the greatest amount of Eligible XP during the 90 days immediately prior to the Promotion Period.  During the Promotion Period, only XP earned by an entrant for completing all or a portion of “Learn” courses or XP awarded pursuant to the XP Accelerator Competition (“Eligible XP”) will be included in the XP used for calculating cumulative community XP needed to achieve the Community Unlock and the XP Threshold, and for calculating the entrant’s XP for the Cumulative Contest Period. An entrant may earn Eligible XP only once for each “Learn” course or portion thereof completed during the Promotion Period.  If an entrant repeats a “Learn” course or portion thereof more than once during the Promotion Period, subsequent XP earned for such “Learn” course will not be counted toward that entrant’s Eligible XP. Each entrant agrees to be bound by and not challenge the final decisions of Sponsor.  All results of the selection are final and binding, subject to these Official Rules.  In the event a winning entry is discovered to be invalid for any reason whatsoever or the person who submitted the winning entry fails to comply with these Official Rules prior to delivery of the prize, the prize may be forfeited and awarded to an alternate winner.  No more than the advertised number of prizes will be awarded. 

NOTICE TO WINNERS:  Attempts to notify potential winners will be made by email.  Sponsor is not responsible for communication problems of any kind.  Time is of the essence in awarding the prizes.  If, despite reasonable efforts, a potential winner does not respond within five (5) days of the first notification attempt (or such shorter time as exigencies may require), or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit any prize and an alternate winner will be selected.

FURTHER DOCUMENTATION AND PUBLICITY:  Potential winners may be required to execute an Affidavit of Eligibility, a Liability Release, and (where imposing such condition is legal) a Publicity Release (collectively, "Prize Claim Documents").  If any potential winner fails or refuses to sign and return all Prize Claim Documents within five (5) days of prize notification (or such shorter time as exigencies may require), the winner may be disqualified and an alternate winner may be selected.  Entry in the Promotion constitutes entrant’s permission for Sponsor and the Promotion Entities to use entrant’s name, photograph, likeness, voice, biographical information, statements, and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation.  As part of the Prize Claim Documents, a potential winner may also be required to execute a further right of publicity release to use the winner’s name and/or image, including, but not limited to, for advertising and promotional purposes, without further compensation.

DATES & DEADLINES/ANTICIPATED NUMBER OF ENTRANTS:  Because of the unique nature and scope of the Promotion, Sponsor reserves the right, in addition to those other rights reserved herein, to modify any date(s) or deadline(s) set forth in these Official Rules or otherwise governing the Promotion.  Sponsor cannot accurately predict the number of entrants who will participate in the Promotion.

GENERAL LIABILITY RELEASE/FORCE MAJEURE:  Entrants agree that Sponsor and the Promotion Entities (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Promotion or any Promotion-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose.  Sponsor and the Promotion Entities assume no responsibility for any damage to entrant’s, or any other person’s, computer system which is occasioned by participating in the Promotion, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature.  Without limiting the generality of the foregoing, Sponsor and the Promotion Entities are not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information.  

Sponsor reserves the right in its sole discretion to disqualify any individual from any or all of the Promotion, any single or all Daily Contests, or the Cumulative Contest who is found to be tampering with the entry process or the operation of the Promotion, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or to be acting in a manner contrary to the learning objectives of the Promotion, or acting with the intent to disrupt or undermine the legitimate operation of the Promotion, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.  No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted.  Sponsor reserves the right to modify, extend, suspend, or terminate the Promotion if it determines, in its sole discretion, that the Promotion is technically impaired or corrupted or that fraud or technical problems, failures, or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Promotion as contemplated herein.  In the event an insufficient number of eligible entries are received and/or Sponsor is prevented from awarding prizes or continuing with the Promotion as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, extend, or terminate the Promotion.  If the Promotion is terminated before the designated end date, Sponsor will (if possible) select the winner(s) from all eligible, non-suspect entries received as of the date of the event giving rise to the termination.  Inclusion in such modified contest shall be each entrant’s sole and exclusive remedy under such circumstances.  Only the type and quantity of prizes described in these Official Rules will be awarded.  These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor.  Unless otherwise stated in these Official Rules, the invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision.  Unless otherwise stated in these Official Rules, in the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

GOVERNING LAW/JURISDICTION:  ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE CONTEST SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF NEW YORK WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.  FOR THE PURPOSES OF ANY DISPUTES HEREUNDER, BY ENTERING THIS PROMOTION, EACH ENTRANT AGREES THAT ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR IN ANY WAY RELATED TO THIS PROMOTION SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION AND CONSENTS TO THE EXCLUSIVE JURISDICTION AND VENUE OF THE APPROPRIATE STATE OR FEDERAL COURT SITUATED IN NEW YORK, NEW YORK.

ARBITRATION PROVISION:  By participating in this Promotion, entrant agrees that any and all controversies, claims, counterclaims or other disputes entrant may have with, or claims entrant may have against Sponsor or the Promotion Entities relating to, arising out of or connected in any way with (a) the Promotion, (b) the awarding or redemption of any prize, and/or (c) the determination of the scope or applicability of this agreement to arbitrate (a “Claim”), will be resolved exclusively by final and binding arbitration in accordance with the Rules of the American Arbitration Association (“AAA Rules”).  The arbitration will be heard and determined by a single arbitrator.  The arbitrator's decision in any such arbitration will be final and binding upon the parties and may be enforced in any court of competent jurisdiction.  The parties agree that the arbitration proceedings will be kept confidential and that the existence of the proceeding and any element of it will not be disclosed beyond the arbitration proceedings, except as may lawfully be required in judicial proceedings relating to the arbitration, by applicable disclosure rules and regulations of securities regulatory authorities or other governmental agencies, or as specifically permitted by law.  The Federal Arbitration Act and federal arbitration law apply to this agreement.  However, the Arbitrator, and not any federal, state, or local court or agency, shall have the exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of these Official Rules including, but not limited to, a claim that all or any part of these Official Rules is void or voidable.

If entrant demonstrates that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of the administrative costs and arbitrator’s fees required for the arbitration as the arbitrator deems necessary to prevent the cost of the arbitration from being prohibitive.  In the final award, the arbitrator may apportion the costs of arbitration and the compensation of the arbitrator among the parties in such amounts as the arbitrator deems appropriate.

This arbitration agreement does not preclude entrant from seeking action by federal, state, or local government agencies.  entrant and Sponsor also have the right to bring qualifying claims in small claims court.  In addition, entrant and Sponsor retain the right to apply to any court of competent jurisdiction for provisional relief, including pre-arbitral attachments or preliminary injunctions, and any such request shall not be deemed incompatible with these Official Rules, nor a waiver of the right to have disputes submitted to arbitration as provided in these Official Rules.  

Neither entrant nor Sponsor may act as a class representative, nor participate as a member of a class of claimants, with respect to any Claim.  Claims may not be arbitrated on a class or representative basis.  The arbitrator can decide only entrant and/or Sponsor’s individual Claims.  The arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated.  If for any reason a claim proceeds in court rather than in arbitration we each waive any right to a jury trial.  Notwithstanding anything to the contrary herein, the arbitrator may award in the arbitration the same damages or other relief available under applicable law, including injunctive and declaratory relief (which may include public injunctive relief), as if the action were brought in court on an individual basis. 

THIS SECTION LIMITS CERTAIN RIGHTS, INCLUDING THE RIGHT TO MAINTAIN A COURT ACTION, THE RIGHT TO A JURY TRIAL, THE RIGHT TO PARTICIPATE IN ANY FORM OF CLASS OR REPRESENTATIVE CLAIM, THE RIGHT TO ENGAGE IN DISCOVERY EXCEPT AS PROVIDED IN AAA RULES, AND THE RIGHT TO CERTAIN REMEDIES AND FORMS OF RELIEF.  OTHER RIGHTS THAT ENTRANT OR SPONSOR WOULD HAVE IN COURT ALSO MAY NOT BE AVAILABLE IN ARBITRATION.   If any provision of this Section is found to be invalid or unenforceable, then that specific provision shall be of no force and effect and shall be severed, but the remainder of this Section will continue in full force and effect.  No waiver of any provision of this Section of these Official Rules will be effective or enforceable unless recorded in a writing signed by the party waiving such a right or requirement.  Such a waiver shall not waive or affect any other portion of these Official Rules. This Section of these Official Rules will survive the termination of your relationship with Sponsor.

PROMOTION DESCRIPTION:  TheDataCamp XP Accelerator Competition (the “Promotion”) begins on November 7, 2022, at 9:00:00 a.m. Eastern Time (“ET”) and ends on November 13, 2022, at 11:59:59 p.m. ET (the “Promotion Period”).  By participating in the Promotion, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of DataCamp, Inc., 350 5th Ave, Floor 77, New York, NY 10118 (“Sponsor”), which shall be final and binding in all respects. As more fully described in these Official Rules, the Sponsor will select the ten (10) best entries that follow the directions of the Promotion, are well-written and clearly address the topic of the Promotion.

ELIGIBILITY:  Open only to current DataCamp registered users including registered Teams and Enterprise users, subject to their admin’s approval, in each case who are eighteen (18) years old or older as of time of entry and have opted in to Sponsor’s promotional activities.  Residents of countries which are subject to EU, UK, US or Australian trade restrictions are NOT eligible to enter the Promotion or win a prize. Officers, directors, and employees of Sponsor and its parent, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies (all such individuals and entities referred to collectively, the “Promotion Entities”), and each of their immediate family members and/or people living in the same household are NOT eligible to enter the Promotion or win a prize.  This Promotion is void where prohibited.

HOW TO ENTER:  To enter the Promotion, (1) sign in to your DataCamp account on datacamp.com (the “Site”); (2) go to the “Competitions” section of the Site; (3) select the “How Much of the World Has Access to the Internet?” competition; and (4) follow the directions regarding the problems to solve and how to submit your entry.  Limit one (1) entry per person.  You must complete all the steps above in order for your submission to be valid. There is no purchase of any kind necessary to enter the Promotion. Any written portion of your submission must be in English. All content submitted in connection with your entry, including any images, must be submitted in accordance with any technical specifications set forth in the Promotion and shall be subject to these Official Rules. No substitutions or corrected entries will be accepted once you have submitted your original materials. All entries received after the Promotion Period will be automatically disqualified. Entries that are obscene, pornographic, libelous or supportive of illegal or unlawful activity, or that misappropriate a third party’s intellectual property will be disqualified.

GENERAL CONDITIONS OF ENTRY:  Sponsor is the official timekeeper for the Promotion.  All entry information and materials, if any, become the property of Sponsor and will not be acknowledged or returned.  Proof of sending information to Sponsor is not considered proof of delivery to or receipt by Sponsor of such entry.  Except as otherwise contemplated in these Official Rules personal information collected in connection with the Promotion will be used in accordance with Sponsor’s Terms of Use, located athttps://www.datacamp.com/terms-of-use, and Privacy Policy, located athttps://www.datacamp.com/privacy-policy.  Any communication of information transmitted to Sponsor by e-mail or otherwise is and will be treated as non-confidential and non-proprietary.  By entering the Promotion, each entrant represents and warrants to the Sponsor as follows: (i) your entry is your own original, previously unpublished, and previously unproduced work or creation and not the product of any collaboration or group effort; (ii) has been cremated solely for the purpose of entering the Promotion; (iii) is not the subject of any actual or threatened litigation or claim of infringement of the rights of any third party; (iv) your entry neither infringes upon nor violates the intellectual property rights or other rights of any other person or entity; (v) your entry does not and will not violate any applicable laws shall meet all applicable conditions for submission set forth above; and (vi) you will not disclose the answer(s) submitted as part of your entry and shall keep confidential any such information for the duration of the Promotion Period.

Entry must be made by the entrant, only as described in these Official Rules.  Sponsor shall have no liability for any entries that are lost, intercepted or not received by the Sponsor.  Entries made by any other individual or any entity, and/or originating at any other website or e-mail address, including but not limited to commercial sweepstakes subscription notification and/or entering service websites, will be declared invalid and disqualified for this Promotion.  Tampering with the entry process or the operation of the Promotion, including but not limited to the use of any device to automate the entry process, is prohibited and any entries deemed by Sponsor, in its sole discretion, to have been submitted in this manner will be void.  In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible.  The Sponsor and Promotion Entities shall not be responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Promotion or by any technical or human error which may occur in the processing of the entries in the Promotion.  The Sponsor and Promotion Entities assume no responsibility or liability for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of entries.

PRIZES:  Up to ten (10) prizes are available.  Each winner will receive fifty thousand experience points (XP) (Approximate retail value ("ARV") $0.00).  Each entrant may only win one (1) prize.  Actual odds of winning a prize in the Promotion depends on the number of eligible entries received during the Promotion Period.

GENERAL PRIZE CONDITIONS:  Gift cards are subject to the terms and conditions printed thereon and imposed by issuer.  No cash alternative or substitution of prizes will be allowed, except Sponsor reserves the right in its sole discretion to substitute prizes of comparable value if any prize listed is unavailable, in whole or in part, for any reason.  Prizes will be awarded only if the potential prize winner fully complies with these Official Rules.  All portions of the prize(s) are non-assignable and non-transferable.  Any prizes pictured in point-of-sale, online, television and print advertising, promotional packaging, and other Promotion materials are for illustrative purposes only.  All details and other restrictions of the prize(s) not specified in these Official Rules will be determined by Sponsor in its sole discretion.  EACH PRIZE WINNER SHALL BE SOLELY RESPONSIBLE FOR ALL FEDERAL, STATE AND/OR LOCAL TAXES, AND THE REPORTING CONSEQUENCES THEREOF, AND FOR ANY OTHER FEES OR COSTS ASSOCIATED WITH THE APPLICABLE PRIZE.  ALL PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

WINNER SELECTION:  After the Promotion Period, Sponsor will select the ten (10) potential prize winners from among all eligible entries received during the Promotion Period. Sponsor will evaluate each eligible entry based on (i) response quality (85%), including accuracy (30%) (including the entry is representative of the original data and free from errors), clarity (25%) (including the entry is easy to understand and clearly expressed), and completeness (30%) (including the entry is a full report that responds to the question(s) posed and (ii) Presentation (15%), including how legible or understandable the response is, how well-formatted the response is and spelling and grammar. In case of a tie between two or more entrants, Sponsor will select the winning entrant based on the order of submission from earliest to latest. Each entrant agrees to be bound by and not challenge the final decisions of Sponsor.  All results of the selection are final and binding, subject to these Official Rules.  In the event a winning entry is discovered to be invalid for any reason whatsoever or the person who submitted the winning entry fails to comply with these Official Rules prior to delivery of the prize, the prize may be forfeited and awarded to an alternate winner.  No more than the advertised number of prizes will be awarded.

NOTICE TO WINNERS:  Attempts to notify potential winners will be made by email.  Sponsor is not responsible for communication problems of any kind.  Time is of the essence in awarding the prizes.  If, despite reasonable efforts, a potential winner does not respond within five (5) days of the first notification attempt (or such shorter time as exigencies may require), or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit any prize and an alternate winner will be selected.

FURTHER DOCUMENTATION AND PUBLICITY:  Potential winners may be required to execute an Affidavit of Eligibility, a Liability Release, and (where imposing such condition is legal) a Publicity Release (collectively, "Prize Claim Documents").  If any potential winner fails or refuses to sign and return all Prize Claim Documents within five (5) days of prize notification (or such shorter time as exigencies may require), the winner may be disqualified and an alternate winner may be selected.  Entry in the Promotion constitutes entrant’s permission for Sponsor and the Promotion Entities to use entrant’s name, photograph, likeness, voice, biographical information, statements, and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation.  As part of the Prize Claim Documents, a potential winner may also be required to execute a further right of publicity release to use the winner’s name and/or image, including, but not limited to, for advertising and promotional purposes, without further compensation.

DATES & DEADLINES/ANTICIPATED NUMBER OF ENTRANTS:  Because of the unique nature and scope of the Promotion, Sponsor reserves the right, in addition to those other rights reserved herein, to modify any date(s) or deadline(s) set forth in these Official Rules or otherwise governing the Promotion.  Sponsor cannot accurately predict the number of entrants who will participate in the Promotion.

GENERAL LIABILITY RELEASE/FORCE MAJEURE:  Entrants agree that Sponsor and the Promotion Entities (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Promotion or any Promotion-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose.  Sponsor and the Promotion Entities assume no responsibility for any damage to entrant’s, or any other person’s, computer system which is occasioned by participating in the Promotion, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature.  Without limiting the generality of the foregoing, Sponsor and the Promotion Entities are not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. 

Sponsor reserves the right in its sole discretion to disqualify any individual from any or all of the Promotion who is found to be tampering with the entry process or the operation of the Promotion, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or to be acting in a manner contrary to the learning objectives of the Promotion, or acting with the intent to disrupt or undermine the legitimate operation of the Promotion, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.  No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted.  Sponsor reserves the right to modify, extend, suspend, or terminate the Promotion if it determines, in its sole discretion, that the Promotion is technically impaired or corrupted or that fraud or technical problems, failures, or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Promotion as contemplated herein.  In the event an insufficient number of eligible entries are received and/or Sponsor is prevented from awarding prizes or continuing with the Promotion as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, extend, or terminate the Promotion.  If the Promotion is terminated before the designated end date, Sponsor will (if possible) select the winner(s) from all eligible, non-suspect entries received as of the date of the event giving rise to the termination.  Inclusion in such modified contest shall be each entrant’s sole and exclusive remedy under such circumstances.  Only the type and quantity of prizes described in these Official Rules will be awarded.  These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor.  Unless otherwise stated in these Official Rules, the invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision.  Unless otherwise stated in these Official Rules, in the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

GOVERNING LAW/JURISDICTION:  ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE CONTEST SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF NEW YORK WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.  FOR THE PURPOSES OF ANY DISPUTES HEREUNDER, BY ENTERING THIS PROMOTION, EACH ENTRANT AGREES THAT ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR IN ANY WAY RELATED TO THIS PROMOTION SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION AND CONSENTS TO THE EXCLUSIVE JURISDICTION AND VENUE OF THE APPROPRIATE STATE OR FEDERAL COURT SITUATED IN NEW YORK, NEW YORK.

ARBITRATION PROVISION:  By participating in this Promotion, entrant agrees that any and all controversies, claims, counterclaims or other disputes entrant may have with, or claims entrant may have against Sponsor or the Promotion Entities relating to, arising out of or connected in any way with (a) the Promotion, (b) the awarding or redemption of any prize, and/or (c) the determination of the scope or applicability of this agreement to arbitrate (a “Claim”), will be resolved exclusively by final and binding arbitration in accordance with the Rules of the American Arbitration Association (“AAA Rules”).  The arbitration will be heard and determined by a single arbitrator.  The arbitrator's decision in any such arbitration will be final and binding upon the parties and may be enforced in any court of competent jurisdiction.  The parties agree that the arbitration proceedings will be kept confidential and that the existence of the proceeding and any element of it will not be disclosed beyond the arbitration proceedings, except as may lawfully be required in judicial proceedings relating to the arbitration, by applicable disclosure rules and regulations of securities regulatory authorities or other governmental agencies, or as specifically permitted by law.  The Federal Arbitration Act and federal arbitration law apply to this agreement.  However, the Arbitrator, and not any federal, state, or local court or agency, shall have the exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of these Official Rules including, but not limited to, a claim that all or any part of these Official Rules is void or voidable.

 

If entrant demonstrates that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of the administrative costs and arbitrator’s fees required for the arbitration as the arbitrator deems necessary to prevent the cost of the arbitration from being prohibitive.  In the final award, the arbitrator may apportion the costs of arbitration and the compensation of the arbitrator among the parties in such amounts as the arbitrator deems appropriate.

 

This arbitration agreement does not preclude entrant from seeking action by federal, state, or local government agencies.  entrant and Sponsor also have the right to bring qualifying claims in small claims court.  In addition, entrant and Sponsor retain the right to apply to any court of competent jurisdiction for provisional relief, including pre-arbitral attachments or preliminary injunctions, and any such request shall not be deemed incompatible with these Official Rules, nor a waiver of the right to have disputes submitted to arbitration as provided in these Official Rules. 

 

Neither entrant nor Sponsor may act as a class representative, nor participate as a member of a class of claimants, with respect to any Claim.  Claims may not be arbitrated on a class or representative basis.  The arbitrator can decide only entrant and/or Sponsor’s individual Claims.  The arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated.  If for any reason a claim proceeds in court rather than in arbitration we each waive any right to a jury trial.  Notwithstanding anything to the contrary herein, the arbitrator may award in the arbitration the same damages or other relief available under applicable law, including injunctive and declaratory relief (which may include public injunctive relief), as if the action were brought in court on an individual basis.

 

THIS SECTION LIMITS CERTAIN RIGHTS, INCLUDING THE RIGHT TO MAINTAIN A COURT ACTION, THE RIGHT TO A JURY TRIAL, THE RIGHT TO PARTICIPATE IN ANY FORM OF CLASS OR REPRESENTATIVE CLAIM, THE RIGHT TO ENGAGE IN DISCOVERY EXCEPT AS PROVIDED IN AAA RULES, AND THE RIGHT TO CERTAIN REMEDIES AND FORMS OF RELIEF.  OTHER RIGHTS THAT ENTRANT OR SPONSOR WOULD HAVE IN COURT ALSO MAY NOT BE AVAILABLE IN ARBITRATION.   If any provision of this Section is found to be invalid or unenforceable, then that specific provision shall be of no force and effect and shall be severed, but the remainder of this Section will continue in full force and effect.  No waiver of any provision of this Section of these Official Rules will be effective or enforceable unless recorded in a writing signed by the party waiving such a right or requirement.  Such a waiver shall not waive or affect any other portion of these Official Rules. This Section of these Official Rules will survive the termination of your relationship with Sponsor.
